Role Description

The Organisation

CEnet is a not-for-profit Information, Communication and Learning Technology (ICLT) services organisation supporting Catholic Diocese networks that connect school communities across metropolitan, regional and rural New South Wales, Queensland, Tasmania, the Australian Capital Territory and the Northern Territory.

Technology is complex, as are the individual needs of schools in different dioceses, and so without sacrificing the potential for scale, they strive to deliver bespoke solutions that enable flexibility and local control for each of our unique member dioceses. CEnet. Providing ICLT services to over 355,000 Kindergarten to Year 12 students, teachers, and administrative staff across Australia.

The Role

CEnet, Catholic Education’s purpose-built technology services company, is seeking to appoint an Independent Director to support the organisation’s strategic direction and continued growth.

The Board consists of nine (9) directors being:

  • Four (4) Member Nominated Directors;
  • Four (4) Independent Directors; and
  • An Independent Chair.


Time Commitment

Directors are expected to allocate approximately 10-12 days per annum for:

  • Board meetings;
  • Committee meetings;
  • Business and strategic planning workshops and activities;
  • AGM and other Member meetings;
  • Education and training; and
  • Induction program for new directors.


Remuneration

Directors are not remunerated; however, they are entitled to the reimbursement of expenses necessarily incurred in attending to CEnet business and Professional Development opportunities as approved by the Chair.

Selection Criteria

For effective board performance, individual board members and the board collectively need to have a broad range of skills and personal attributes. CEnet is seeking applications from individuals who have the required competencies in one or more of the following areas:

Industry
Directors should have the required competencies in one or more of the following areas:

  • Catholic organisation governance
  • Not-for-profit sector
  • IT / Communications
  • Shared services
  • Regional business
  • K-12 education
  • Membership organisations


Technical

Directors should have the required competencies in one or more of the following areas:

  • Accounting and/or Finance
  • Law
  • Strategic Marketing and Communications
  • Information technology
  • Human resource management
  • Strategy development and implementation
  • CEO/senior management experience
  • Contemporary corporate governance
  • Commercial / negotiation/supplier management


Governance

Directors should have the required competencies in one or more of the following areas:

  • Strategy development
  • Financial literacy
  • CEO selection, monitoring, and evaluation
  • Compliance and monitoring
  • Risk management
  • Policy frameworks
  • Networking
  • Stakeholder engagement and lobbying
  • Stakeholder communication
