Duncan Ramsay
General Counsel
I am a Chairman, former Trustee, former Company Secretary and General Counsel with twenty years of board level experience across the legal and insurance industries. At board level, what I do is drive legal compliance. I do that by advising on best practice related to legal aspects of acquisitions and financings and provide general corporate legal advice. Board level highlights include my position as Chairman at National Credit Insurance Brokers, former Member of Business Law Committee and Corporate Lawyers Committee at The Law Society of New South Wales, as well as my multiple roles of Director, Trustee and Company Secretary at QBE Insurance Group and Director at Steadfast Group.
In an executive capacity, I am currently the General Counsel at Steadfast Group. Here I act as lead lawyer for asset and share purchases, share sales, joint venture agreements and agency, broker and supplier agreements. Previously I was a Senior Corporate Lawyer within the same company.
Earlier, I was the General Counsel at QBE Insurance Group, where I contributed to over 100 acquisitions, debt, equity & hybrid financings, which increased the company’s market capitalisation from less than $1B to over $18B. I served as the main lawyer for negotiating share purchases and joint venture agreements concluded worldwide, as well as managed day-to-day legal issues for the Group head office and the Asia Pacific. I was the Company Secretary from 2001.
Finally, I hold degrees in Commerce from the University of NSW and in Law from the University of NSW and University of Sydney. I am a Fellow of ANZIIF and the Governance Institute of Australia and a Graduate of the AICD’s Company Directors Course.
