The company has developed a product in the market segment that focuses on the High-Level Disinfection of medical ultrasound transducers. ROLE DESCRIPTION
We seek to appoint two new Non-Executive Directors (NEDs).
The first NED will provide strategic guidance on Lumicare’s US market entry and commercialisation. We want someone with senior US medical device experience who can advise on market access, distribution, GPOs, IDNs, pricing and commercial strategy, with specific US nuance for sales and marketing in mind. Success will be measured by the development of a practical US market-entry plan, access to relevant industry networks and partners, and measurable progress toward US commercialisation and revenue growth.
The second NED will provide strategic guidance on capital management, fundraising and potential exit pathways. Lumicare want someone with senior corporate finance, investment banking, M&A, pre-IPO and IPO experience who can work closely with the CEO and CFO and provide access to relevant investor and adviser networks. Success will be measured by a clear capital management and exit strategy, stronger investor engagement, and the successful execution of future capital-raising or strategic transactions.
Lumicare also expect to establish two permanent board committees which these NEDs will be members of:
- Remuneration and Nomination Committee: Executive roles, responsibilities and accountability; senior executive remuneration; succession planning; future director appointments; and board performance evaluations.
- Audit, Risk and Compliance Committee: Financial reporting; external audit; internal controls; risk management; regulatory and product compliance; insurance; and significant legal matters.
Additional temporary board committees may also be established for specific transactions, such as capital raising, exit planning, IPO readiness or M&A.
PERSON SPECIFICATION
Essential Criteria: The successful candidates must be able to provide evidence of success in the following essential criteria:
- Governance: Successful candidates are highly likely to have prior governance experience as a NED and/or can evidence having successfully worked at board level in/with an organisation of similar scope and scale. Experience serving on or chairing a remuneration or a nomination committee, and practical expertise in board renewal, executive remuneration, succession planning and organisational design would also be an advantage.
- Skills and Expertise: EITHER
NED 1: Senior US medical device commercialisation experience, ideally across ultrasound, medical imaging or adjacent healthcare sectors.
NED 2: Senior corporate finance, investment banking, capital raising, M&A, pre-IPO or IPO experience.
- Industry Experience and Connections: NED 1 – Relevant US industry and market-access networks OR NED 2 – Strong investor, adviser and capital markets networks.
- Passion and Fit: Evidence of having successfully worked in/with an organisation of similar scope and scale, and of being commercially pragmatic, independent, collaborative and comfortable constructively challenging management.
LOCATION, REMUNERATION & TIME COMMITMENT
Location: Sydney-based candidates would be preferred, but not essential.
Board Meetings: The board is expected to meet quarterly, online/in person, plus AGM each year. Committee meetings will occur more frequently as required.
Remuneration: Remuneration is expected to be ~$45,000 per annum. In addition to annual director fees, the company may offer equity participation through its ESOP, subject to performance, tenure and board and shareholder approvals, creating genuine alignment with the company’s long-term success.
